FlipMate Terms of Service
These Terms govern your access to and use of FlipMate's website, mobile applications, and related sourcing and transaction-support services.

1. Acceptance of Terms
These Terms of Service (these "Terms") govern your access to and use of the services provided by FlipMate, LLC, a Washington limited liability company ("FlipMate," "we," "us," or "our"), including our website, mobile applications, and all related sourcing and transaction-support services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
2. Description of the Service
FlipMate is a sourcing and transaction-support service for furniture resellers. FlipMate identifies promising furniture items that may represent resale opportunities, arranges pickup logistics with transaction counterparties, and presents those opportunities to approved users for claim.
FlipMate is not a marketplace. FlipMate does not sell, own, or take title to any furniture or other goods. FlipMate does not act as a buyer, seller, consignment operator, auctioneer, or marketplace operator.
FlipMate does not guarantee item condition, availability, quality, authenticity, legality, profitability, or the performance of any transaction counterparty. Descriptions, photographs, resale-value estimates, and profit estimates are for informational purposes only and are not guarantees, representations, or warranties.
3. Eligibility and Account Registration
3.1 Eligibility. The Service is intended for individuals and business entities engaged in furniture resale. You must be at least 18 years of age and legally capable of entering into binding agreements to use the Service.
3.2 Account Approval. Access to the Service requires approval by FlipMate. We review applications manually and may approve, defer, or decline applications at our sole discretion based on factors including seller reputation, geographic location, local capacity, and other relevant factors.
3.3 Account Responsibilities. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. You may not transfer, assign, or share your account without our prior written consent.
4. How the Service Works
4.1 Sourcing and Scheduling. FlipMate identifies promising furniture items from third-party sources and evaluates them for potential resale value. For items FlipMate determines may represent good opportunities, FlipMate contacts the transaction counterparty to confirm availability and arrange a potential pickup date and time. At the time of initial outreach, FlipMate is not acting on behalf of any specific user.
4.2 Claiming an Opportunity. Once FlipMate has arranged a potential pickup window, the opportunity is made available to approved users in the relevant geographic area. When you claim an opportunity, you agree to pay the applicable FlipMate service fee for pickup arrangement. After payment is verified, FlipMate will coordinate the pickup and provide the confirmed pickup details.
4.3 Pickup and Completion. After claiming an opportunity, you are responsible for appearing at the designated location at the scheduled time to inspect the item and, if satisfactory, complete the purchase directly with the transaction counterparty. You are not obligated to purchase the item and may decide not to proceed for any reason.
4.4 Rescheduling and Cancellation. Pickup times are subject to change. FlipMate may reschedule or cancel a scheduled pickup if it becomes impractical, if the transaction counterparty becomes unavailable, or for any other reason. We will use reasonable efforts to accommodate your rescheduling requests but cannot guarantee rescheduling.
5. Fees, Payment, and Refunds
5.1 Service Fee. FlipMate charges a service fee when you claim an opportunity. The service fee is for FlipMate's sourcing and transaction-support services and does not constitute payment for the furniture item itself.
5.2 Introductory Offer. Your first three completed pickups through the Service are free of charge. FlipMate may modify or discontinue this offer at any time.
5.3 Payment Method. Service fees are currently collected via Venmo. FlipMate does not store your payment card information and may add, change, or remove payment methods at any time.
5.4 Refunds. You are entitled to a full refund of the FlipMate service fee in any of the following circumstances:
- You arrive at the pickup location and elect not to purchase the item for any reason.
- The transaction counterparty cancels, becomes unavailable, or otherwise fails to follow through on the scheduled pickup.
- FlipMate cancels the scheduled pickup.
- The item is no longer available at the time of your scheduled pickup.
Refunds will be processed to the original payment method. FlipMate reserves the right to modify its refund policy at any time, with notice to users.
6. User Conduct and Prohibited Activities
You agree to use the Service in good faith and in compliance with all applicable laws and regulations. You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Provide false, misleading, or inaccurate information in connection with your account or use of the Service.
- Interfere with or disrupt the Service or the servers or networks connected to the Service.
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or connected systems or networks.
- Use automated means to access the Service, scrape content, or collect information without our express written permission.
- Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service without our express written permission.
FlipMate may reduce the volume of opportunities made available to you, limit your visibility into items, suspend or restrict your access, or terminate your account if we reasonably believe you have engaged in conduct harmful to FlipMate, its users, or transaction counterparties. Examples include fee-circumvention, patterns of undermining the Service, fraud, misrepresentation, or repeated failure to appear for scheduled pickups without reasonable cause.
7. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
FlipMate does not warrant that the Service will be uninterrupted, error-free, or secure, that any defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.
FlipMate makes no warranties or representations regarding the condition, quality, legality, availability, or profitability of any item identified through the Service, or the reliability, timeliness, or performance of any transaction counterparty.
To the maximum extent permitted by applicable law, in no event shall FlipMate, its members, managers, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
This limitation applies to claims arising from your access to, use of, or inability to use the Service; any conduct or content of any transaction counterparty or other third party; any item obtained or expected to be obtained through the Service; unauthorized access, use, or alteration of your transmissions or content; or any other matter relating to the Service.
FlipMate's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of the total amount of service fees paid by you to FlipMate during the twelve months preceding the event giving rise to the claim, or $100.
8. Indemnification
You agree to indemnify, defend, and hold harmless FlipMate, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service or any activity under your account.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any transaction or interaction between you and any transaction counterparty.
- Any dispute between you and any transaction counterparty.
9. Intellectual Property
The Service and its entire contents, features, and functionality, including information, software, text, displays, images, and the design, selection, and arrangement thereof, are owned by FlipMate, its licensors, or other providers of such material and are protected by United States and international intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service, FlipMate's trademarks, logos, or other proprietary materials, except for the limited right to use the Service as expressly permitted by these Terms.
10. Third-Party Platforms and Services
The Service may involve interaction with third-party sources and payment providers. Your use of any third-party service is subject to that service's own terms and privacy policies. FlipMate is not responsible for the practices, content, or availability of any third-party service.
11. Term and Termination
These Terms are effective until terminated. You may stop using the Service at any time. FlipMate may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
Upon termination, your right to use the Service will immediately cease. Sections 7, 8, 9, 12, 13, and 14 survive any termination of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Washington, and you consent to the personal jurisdiction of such courts.
13. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting FlipMate at support@flipmate.com. If the dispute is not resolved within thirty (30) days of your initial contact, either party may pursue formal resolution as permitted under these Terms.
14. General Provisions
14.1 Entire Agreement. These Terms, together with the FlipMate Privacy Policy, constitute the entire agreement between you and FlipMate regarding the Service and supersede all prior agreements and understandings.
14.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. FlipMate's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment. You may not assign or transfer these Terms or your rights under these Terms without FlipMate's prior written consent. FlipMate may assign these Terms without restriction.
14.5 Notices. Notices to you may be sent to the email address associated with your account. Notices to FlipMate should be sent to support@flipmate.com.
