FlipMate Terms of Service

Plain-English Terms & Conditions draft for legal review. Reflects request-access onboarding, human-led + tool-assisted sourcing, outreach/scheduling on your behalf, per-pickup fees, inventory and sales tools, and optional Renw tie-ins.

Scope: These Terms govern your access to and use of FlipMate websites, apps, and services, including sourcing on your behalf, messaging/scheduling, inventory tools, and sales tracking (collectively, the “Services”). By using the Services, you agree to these Terms.

1) Who can use FlipMate

  • Business use. The Services are intended for adult users operating a legitimate flipping/resale business.
  • Eligibility. You must be at least 18 and able to form a contract.
  • Request access. We use a request-access process and may approve, waitlist, or decline accounts to manage quality and market capacity. We may limit the number of users per market and roll out gradually.

2) What FlipMate provides (high-level)

  • Full-service sourcing. Human-led, tool-assisted monitoring of marketplaces you use; identification of promising pieces within your pickup radius; first outreach to sellers; qualification; scheduling a pickup window; and pushing scheduled deals to your dashboard for you to claim or pass.
  • Inventory tools. Items you pick up (or add yourself) can move through your board (e.g., Available → Scheduled → Inventory) with photo upload/reorder/export features and status tracking (New → Listed → Sold).
  • Sales tracking & scheduling. Optional tools to track on-deck value, sales, purchase costs/expenses, and to manage pickups, deliveries, and showings.

What FlipMate does not do: We are not a marketplace, carrier, or insurer. We do not buy or sell items as principal on your behalf, and we do not guarantee deal availability, seller performance, item condition, or outcomes.

3) Your account & obligations

  • Accurate information. Provide accurate account info and keep it current.
  • Security. You are responsible for safeguarding your account and for actions under it.
  • Lawful use. Use the Services only for lawful purposes, in compliance with these Terms and with applicable third-party marketplace rules.
  • Professional conduct. You are responsible for safe pickups, transportation, and interactions with sellers and buyers (equipment, personnel, permits, insurance, and safety practices).

4) The sourcing workflow (authority & expectations)

  • Authority to act. You authorize FlipMate to (i) monitor listing sources you designate, (ii) contact sellers and request details, (iii) represent you as an interested buyer using communication accounts we operate, and (iv) propose and coordinate pickup windows.
  • No guarantees. We use best efforts but cannot guarantee a seller will hold an item, that you will be first in line, or that a scheduled deal will not fall through. Sellers may change terms or sell to someone else.
  • Claim or pass. When we push a scheduled deal to your dashboard, you must claim or pass promptly. If you claim, you agree to honor the scheduled window or notify us immediately if plans change.
  • Cancellations/fall-throughs. If a seller cancels, misrepresents an item, or access is impossible, we may withdraw or reassign the deal without liability. [Counsel to add any cancellation/no-show fee terms if desired.]

5) Fees, billing, and promotions

  • No subscriptions. We do not charge subscription fees for sourcing at this time.
  • Per-pickup fees. You agree to pay fees for deals you actually pick up (the “Fees”). Fees, taxes, and any applicable adjustments are shown in your account, pricing page, or an order form.
  • Promotions. We may provide introductory offers (e.g., a limited number of free deals for newly approved users). Promotions are subject to eligibility, market capacity, and change or discontinuation at our discretion.
  • Payment processing. You authorize us and our payment processor to charge Fees to your selected payment method. You are responsible for any taxes. [Counsel to add refund/chargeback policy, late fees, and dispute window.]

6) Acceptable use

You agree not to:

  • Violate laws, marketplace terms, or others' rights;
  • Harass or mislead sellers, submit false information, or interfere with other users' deals;
  • Attempt to gain unauthorized access, test vulnerabilities, or disrupt the Services;
  • Copy, scrape, index, or reverse engineer the Services (except as permitted by law);
  • Use the Services to build a competing service.

We may suspend or terminate accounts that violate these Terms or risk harm to sellers, other users, or the service.

7) Content, licenses, and your responsibilities

  • Your content. You retain all rights to content you upload (e.g., item photos, descriptions, notes). You grant FlipMate a worldwide, non-exclusive, royalty-free license to host, reproduce, process, and display your content solely to provide and improve the Services.
  • Seller information. If you share third-party personal data (e.g., seller contact details, addresses) with us, you represent you have the right to do so and instruct us to use that information only to coordinate the transaction.
  • Accuracy. You are responsible for verifying item condition and ensuring pickups are safe and lawful. Any calculators or projections in the Services are for convenience and not guarantees.
  • Infringement. Do not upload content that violates law or third-party rights. [Counsel: add DMCA agent/contact if applicable.]

8) Third-party services & marketplaces

  • Not affiliated. FlipMate is not affiliated with Facebook Marketplace, Craigslist, OfferUp, or other listing platforms. Their terms and privacy policies apply to your use of those platforms.
  • Integrations. If you enable integrations or cross-listing/hosting (e.g., optional posting to Renw), you authorize us to share the minimum necessary data to operate that feature. We are not responsible for third-party outages or changes.

9) Private beta & confidentiality

At this stage, FlipMate is being rolled out in a limited, private beta. By using the Services, you agree not to publicly disclose or publish detailed information about unreleased or non-public aspects of the Services—including screenshots, internal workflows, pricing, or performance—without our prior written permission. This includes posting in public social media groups, forums, or similar channels.

This does not prevent you from using the Services in your business or discussing general flipping techniques that do not reveal how FlipMate works.

10) Beta features

We may offer features labeled “beta,” “preview,” or similar. Beta features are provided as-is, may change or be discontinued at any time, and may be subject to additional terms. Use is at your discretion and risk.

11) Privacy

Our Privacy Policy explains how we collect and use personal information and is incorporated by reference. By using the Services, you consent to those practices. [Link to final Privacy Policy.]

12) Disclaimers

  • The Services are provided “as is” and “as available.” We make no warranties (express or implied) about availability, accuracy, non-infringement, merchantability, or fitness for a particular purpose.
  • We do not control third-party marketplaces or sellers and are not responsible for their actions or omissions.
  • We do not inspect every item and do not warrant item condition, safety, or suitability. You are responsible for inspection and for using appropriate equipment and practices during pickups and transport.

13) Limitation of liability

  • FlipMate will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits or revenues, loss of data, business interruption, or cost of substitute services.
  • Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to FlipMate for the Services in the twelve (12) months before the event giving rise to liability.
  • These limits apply regardless of theory of liability and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain exclusions; your rights may vary.

14) Indemnification

You will defend, indemnify, and hold harmless FlipMate, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your interactions with sellers or buyers; (c) your pickups, transport, or on-site activities; (d) your content; (e) your violation of these Terms or applicable law; or (f) your violation of third-party rights or marketplace rules.

15) Suspension & termination

  • By you. You may stop using the Services at any time. [Counsel: add process for account closure and data export, if offered.]
  • By us. We may suspend or terminate the Services or your account immediately for violations of these Terms, legal or safety risks, non-payment, or market capacity constraints.
  • Effect. Upon termination, your right to use the Services ends. Sections that by their nature should survive (e.g., fees owed, content licenses granted for Service operation, disclaimers, limitations of liability, indemnities) will survive.

16) Changes to the Services or Terms

We may modify the Services or these Terms to improve performance, add or remove features, or reflect legal or business changes. If changes are material, we will provide reasonable notice (e.g., email or in-app). Continued use after changes become effective constitutes acceptance.

17) Governing law; disputes

  • Arbitration/class action waiver: If desired, include binding arbitration and class action waiver language compliant with applicable law. Provide an opt-out mechanism where required.

18) Miscellaneous

  • Entire agreement. These Terms (plus any order form/market-specific terms and the Privacy Policy) are the entire agreement between you and FlipMate.
  • No assignment without consent. You may not assign your rights or obligations without our written consent; we may assign as part of a reorganization or sale.
  • Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
  • Severability; waiver. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver.
  • Notices. We may send notices to the email tied to your account or via the Service. You may contact us at the address below.

Attachment B (optional): Acceptable Use & Seller-contact guidelines

  • Respect seller time; no harassment or spam.
  • No misrepresentation of identity or intent.
  • Do not attempt to bypass marketplace protections or prohibited-items rules.
  • Use proper equipment and personnel for pickups; avoid property damage; follow building rules.
  • Report suspected fraud or safety issues to FlipMate immediately.

Implementation notes (not part of the Terms)

  • Link these Terms in the site footer and the request-access/sign-up flow.
  • Require explicit acceptance at account creation and when materially updated.
  • Keep a version/date history.
  • Reference these Terms in the “Get deals in my area” and approval emails.
